These Terms of Service ("Terms") are an agreement between you and Ribbon Drop, LLC ("Ribbon Drop," "we," "us"). They cover our weekly lead-list subscriptions ("Lists") and our done-for-you website services ("Website Services"), together the "Services." By buying, subscribing, or using the Services, you agree to these Terms, our Privacy Policy, and our Refund & Cancellation Policy. If you are agreeing for a business, you confirm you have authority to bind it, and "you" means that business.
1. Who can use the Services
The Services are for businesses and professionals. They are not intended for personal, family, or household use. You must be at least 18 and able to form a binding contract. You are responsible for keeping your account and delivery email secure and for everything done under your account.
2. Subscriptions, billing & renewal
- Plans. List plans are sold by industry and coverage area (Metro, State, 5 States/All Covered, National, single-specialty, "Everything") and the CRM/API Sync add-on. Website plans are Launch, Pro, and Grand Opening. Current prices are shown on our website and at checkout.
- Automatic renewal. Subscriptions renew automatically at the end of each billing period (monthly or annual, whichever you chose) at the then-current price for your plan, until you cancel. You authorize us and our payment processor, Stripe, to charge your payment method at the start of each period.
- Price changes. We will give you at least 30 days' notice by email before a price increase takes effect on your renewal. Launch-pricing locks we advertise (for example, "first 50 customers lock their price for a year") will be honored for the stated period.
- Annual plans are billed up front for 12 months. We will email a reminder before an annual plan renews.
- Discounts. Bundle discounts and promotion codes apply only as stated when offered and may end if you change or reduce your plan.
- Taxes. Prices exclude applicable sales or similar taxes, which we may add where required.
- Failed payments. If a payment fails, we may retry it and pause delivery or hosting until the balance is paid.
3. Cancellation & free sample week
- Cancel anytime from your billing portal, or by emailing ribbondrop@mail.grokbot.com. Cancellation takes effect at the end of your current billing period. You keep access and deliveries until then, and you will not be charged again.
- No partial refunds. We do not refund or credit partial periods, unused weeks, or downgrades in the middle of a period, except where the law requires otherwise or as stated in our Refund & Cancellation Policy.
- Free sample week. Before subscribing, you may ask for one free sample week of a List for your industry and area. A sample is free, needs no card, and does not renew. These Terms, including the use limits in Section 5, apply to sample Lists.
- The Grand Opening website plan has a minimum term. See Section 8.
4. The Lists: what they are
- Public-record source. Lists are compiled from public business records published by government agencies, such as permits, licenses, registrations, NPI and USDOT filings. We clean, merge, de-duplicate, and format those records.
- Business information only. Lists are intended to contain information about businesses: the business name, business address, the business phone the agency publishes, the category, the filing signal and date, and a source link. We work to remove information about individuals, such as owner or officer names, personal emails, and cell-phone fields. If a record that relates to an individual (for example, a sole proprietor using a personal address) gets through, you must not use it for consumer marketing, and you should tell us so we can remove it.
- No accuracy warranty. Public records can be late, incomplete, duplicated, or wrong. A filing is a signal, not proof that a business has opened, is open, or wants to buy anything. Ownership changes and relocations can look like new businesses. We do not warrant that any List is accurate, complete, current, or fit for any purpose. Verify records before relying on them.
- Coverage depends on what agencies publish and can change. If a source stops publishing or changes its format, we may substitute, reduce, or delay coverage. We will tell you if a change materially affects your plan.
5. How you may use the Lists
While you are subscribed, we grant you a limited, non-exclusive, non-transferable license to use the Lists delivered to you for your own internal business prospecting, including loading them into your own CRM.
You may not:
- resell, sublicense, rent, publish, share, or redistribute the Lists, or any substantial part of them, to anyone outside your business. This includes posting them online, selling them as part of another data product, or giving them to affiliates, resellers, or clients;
- use the Lists to build or improve a competing list or data product;
- use the Lists for consumer marketing, credit, employment, insurance, tenant screening, or any other purpose covered by the Fair Credit Reporting Act. Ribbon Drop is not a consumer reporting agency;
- use the Lists to harass, discriminate, defraud, or impersonate anyone, or for any unlawful purpose.
The CRM/API Sync add-on is for your own systems only. After you cancel, you may keep records already loaded into your CRM for your internal use, subject to these Terms. You may not keep receiving, scraping, or redistributing new data.
6. Your marketing-law obligations
You alone decide whether and how to contact businesses on a List, and you are solely responsible for complying with every law that applies to your outreach, including:
- CAN-SPAM Act: truthful sender and subject lines, a valid physical address, a working opt-out, and honoring opt-outs promptly;
- Telephone Consumer Protection Act (TCPA) and FCC rules: no autodialed, artificial-voice, or prerecorded calls or texts to cell phones without the required consent;
- Telemarketing Sales Rule, National Do-Not-Call Registry, and state telemarketing, do-not-call, and registration laws, including calling-hour limits and internal do-not-call lists;
- state privacy and anti-spam laws, and the rules of any industry you sell into (for example, healthcare-marketing rules).
Business phone numbers can be cell phones, and some states treat business numbers like consumer numbers. A record appearing on a List is not consent to be called, texted, or emailed. We do not provide legal advice about your campaigns.
7. Website Services
- Plans. Launch is a one-time setup fee plus a monthly fee. Pro is a one-time setup fee plus a monthly fee. Grand Opening has no setup fee and a monthly fee with a 12-month minimum term. Deliverables for each plan are described on our website and at checkout.
- Setup fees pay for discovery, design, and build. Setup fees are non-refundable once work starts. Work starts when we begin discovery or design after you submit your onboarding details, or when we deliver a first draft or "coming soon" page, whichever comes first. Before work starts, you may cancel for a full refund of the setup fee.
- Your cooperation. You will give us accurate content, such as your logo, photos, hours, menu or services, and licenses, plus timely approvals. Delays on your side may delay delivery. If we don't hear from you for 60 days after we ask for required content, we may publish a reasonable version using what we have, or treat the build as delivered.
- Hosting & maintenance. While your website subscription is active and paid, we host your site, keep its software and security up to date, keep it backed up, and make the content updates included in your plan (Pro: unlimited reasonable updates, usually within 48 business hours). Hosting and maintenance stop when your subscription ends.
- Domains. We recommend that you register your domain in your own name. If we register a domain for you, we register it on your behalf and will transfer it to you on request.
- Third-party tools. Booking, ordering, payment, and scheduling tools linked from your site are provided by third parties under their own terms. Healthcare sites: we do not build forms that collect patient health information, and we do not add advertising trackers. You are responsible for any scheduler or patient portal you link to and for its HIPAA compliance.
- Your responsibility for content. You are responsible for the accuracy and legality of the content you provide and the claims on your site, such as licenses, prices, health claims, and reviews. You also confirm you have the right to use any photos, logos, or text you give us.
8. Grand Opening plan: 12-month minimum term
- The Grand Opening plan waives the setup fee in exchange for a 12-month minimum term that starts on your first payment. It is billed monthly.
- After 12 months, it continues month-to-month at the then-current Grand Opening or Pro monthly price until you cancel. You can then cancel at any time, effective at the end of the current month.
- Early termination. If you cancel before the 12-month term ends, or we end the plan because of your uncured breach or non-payment, you owe an early-termination fee equal to the lesser of (a) the monthly fees remaining in the 12-month term, or (b) $703 (the Pro setup fee waived at signup). We will charge it to your payment method on file when the cancellation takes effect.
- Monthly fees already paid are not refunded. Hosting continues through the end of the month you have paid for.
9. Ownership & content
- You own your content: the text, photos, logos, trademarks, menus, and other materials you provide, and your domain name. You give us a license to use them only to provide the Services. We may also list your site's name and a screenshot as a portfolio example unless you opt out by email.
- Custom design work we create specifically for your site, such as page copy we write for you and custom graphics, becomes yours once all fees for it are paid. That includes any early-termination fee.
- We keep our tools. Ribbon Drop keeps ownership of our templates, themes, code, components, hosting configuration, know-how, and the Lists and our methods for compiling them. While you are subscribed, you have a license to use these as part of your site.
10. If you cancel a website
- Your site stays live through the end of the last period you paid for.
- After that, we take the site offline. We keep a backup for 30 days, during which you can reactivate at your plan's current monthly price without paying setup again.
- Export. If your account is paid in full, including any early-termination fee, we will give you a copy of your content and a static export of your site's pages (HTML, CSS, and images) on request within those 30 days, at no charge. You can host the export elsewhere. Our ongoing hosting, updates, integrations, and support do not come with it. Licensed third-party items, such as stock photos or fonts we license, may need to be relicensed by you.
- Domain. We will help transfer any domain we registered for you, and point your DNS wherever you ask.
- After 30 days, we may permanently delete the site and backups.
11. Acceptable use
You may not use the Services to break the law, infringe others' rights, send spam, distribute malware, try to get around access controls, scrape or overload our systems, or share your login or delivery feed outside your business. We may suspend Services for violations that create legal, security, or reputational risk. We will notify you, and where reasonable, give you a chance to fix the problem first.
12. Disclaimers
Except as expressly stated in these Terms, the Services, Lists, and websites are provided "as is" and "as available." To the fullest extent permitted by law, Ribbon Drop disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and uninterrupted or error-free operation. We do not guarantee any number of leads, sales, search rankings, or business results.
13. Limitation of liability
To the fullest extent permitted by law: (a) Ribbon Drop will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, or business opportunities, even if advised of the possibility; and (b) Ribbon Drop's total liability for all claims arising out of or relating to the Services or these Terms will not exceed the amounts you paid us for the Service giving rise to the claim in the 12 months before the event that caused the claim.
These limits do not apply where the law does not allow them, such as liability for fraud or willful misconduct.
14. Indemnity
You will defend, indemnify, and hold harmless Ribbon Drop and its members, employees, and contractors from claims, fines, and costs (including reasonable attorneys' fees) arising from: your use of the Lists, including any call, text, or email campaign and any claim under the TCPA, CAN-SPAM, or telemarketing laws; content you provide for your website; or your breach of these Terms.
15. Governing law & disputes
- These Terms are governed by the laws of the State of New York, without regard to conflict-of-laws rules.
- Any dispute will be brought exclusively in the state or federal courts located in New York County, New York, and both parties consent to their jurisdiction. Either party may bring a qualifying claim in small-claims court.
- Before filing a claim, each party agrees to try to resolve the dispute informally for 30 days after written notice.
- Either party may seek an injunction to stop misuse of its intellectual property or of the Lists.
16. General terms
- Changes. We may update these Terms. For material changes, we will email active customers at least 30 days in advance. Changes apply to your next billing period. If you don't agree, you may cancel before then.
- Termination by us. We may end the Services for material breach that is not cured within 10 days of notice, or immediately for unlawful use or redistribution of Lists. If we end a Service for our own convenience, we will refund any prepaid fees for the unused period.
- Survival. Sections 4–6, 8 (fees owed), 9, 10, and 12–16 survive termination.
- Force majeure. We are not liable for delays caused by events beyond our reasonable control, including government data outages.
- Entire agreement. These Terms, the Privacy Policy, the Refund & Cancellation Policy, and your order make up the whole agreement. If a provision is unenforceable, the rest remains in effect. Failing to enforce a provision is not a waiver. You may not assign these Terms without our consent. We may assign them in connection with a merger or sale of our business.
- Electronic notices. You agree to receive notices by email at your account address.
